Terms Of Use
This mobile application (the “App”) is made available by Lockis Technology Limited (hereafter referred as “Lockis”, “we”, “us”, or “our”).
By Using our App, you have confirmed your acceptance of the terms of our App (“App Terms”). If you do not agree to our App Terms, you must immediately uninstall the App and discontinue your use.
App and Related Terms
We may update and upload a new version of the App from time to time. By your continued use of the App, you shall deem to have accepted our amended App Terms.
Subject to the version that you have downloaded, the App Terms shall incorporate the terms and conditions, privacy policies and other terms of use of Apple or Google (“Platform Terms”). You should ensure that you have read such terms.
In the event there is any conflict between the App Terms and the Platform Terms, the App Terms shall prevail.
Use of the App
Lockis hereby grants you a non-exclusive, non-transferable, revocable licence to use the App for your personal, non-commercial use and only on an Apple or Android device (“Device”) in accordance with the App Terms (“User Licence”).
In the event of your breach of the App Terms, whether actually or potentially, we shall be entitled to terminate the User Licence immediately without notice to you. We shall have the final decision on the interpretation of the App Terms and whether there is a breach or not.
You acknowledge that your agreement with your mobile network provider (“Mobile Provider”) will apply to your use of the App. You acknowledge that you may be charged by the Mobile Provider for mobile data services while using the App.
Intellectual Property
Lockis and logo, and other Lockis trademarks, service marks, graphics and logos, whether registered or unregistered, used in connection with the App are trademarks of Lockis, (collectively “Lockis Trademarks”). Other trademarks, service marks, graphics and logos used in connection with the App are the trademarks of their respective owners (collectively “Third Party Trademarks”). You shall not copy, use, distribute, imitate, wholly or partly the Lockis Trademarks and Third Party Trademarks may not be copied, imitated or used, in whole or in part, without the prior written permission of Lockis or the applicable trademark holder.
You will not copy, duplicate, decompile, reverse-engineer, translate, convert, adapt, alter, modify, enhance, customise in whole or in part of this App.
Prohibited Uses
You agree that your use of the App shall not:
(a) be unlawful, illegal or unauthorised;
(b) be defamatory of any other person;
(c) be obscene or offensive;
(d) promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
(e) infringe any copyright, database right or trade mark of any other person;
(f) be likely to harass, upset, embarrass, alarm or annoy any other person;
(g) be likely to disrupt our service in any way; or
(h) advocate, promotes or assists any unlawful act including but not limited to copyright infringement or computer misuse.
Indemnification
You agree to indemnify and keep Lockis, including its employees, directors and service providers, fully indemnified against any loss and damage arising out of your use of the App or any breach of the App Terms. Lockis reserves the right to take in charge of the defence and enter into a settlement of any third-party claim for which you indemnify Lockis under the App Terms and you will assist us in exercising such rights.
“As-is Basis” and no warranty
Lockis provides the App on an ‘as is’ and ‘as available’ basis without any promises or representations, express or implied warranty of any kinds. In particular, Lockis does not warrant or make any representation regarding the validity, accuracy, reliability, correctness or availability of the App or its content. We may suspense or restrict the use of the App for whatever reason at our sole discretion.
To the fullest extent as permitted by applicable laws, Lockis hereby excludes all promises, whether express or implied, including any promises that the App is fit for purpose, of satisfactory quality, non-infringing, is free of defects, is able to operate on an uninterrupted basis, that the use of the App by you is in compliance with laws or that any information that you transmit in connection with this App will be successfully, accurately or securely transmitted.
Exclusion of Lockis’s Liability
Nothing in the App Terms shall exclude or in any way limit Lockis’s liability for death or personal injury caused by its negligence or for fraud or any other liability to the extent the same may not be excluded or limited as a matter of law.
To the fullest extent permitted under the applicable laws, in no event shall Lockis be liable to you with respect to use of the App and/or be liable to you for any direct, indirect, special or consequential damages including but not limited to damages for loss of goodwill, lost profits, or loss, or corruption of your information, the inability to use the App, Device failure or malfunction.
Lockis shall not be liable even if it has been advised of the possibility of such damages, including without limitation damages caused by error, omission, interruption, defect, failure of performance, unauthorised use, delay in operation or transmission, computer virus, worm, Trojan horse or other harm.
General
The App Terms shall be governed by the laws of Hong Kong and the parties submit to the exclusive jurisdiction of the courts of Hong Kong to resolve any dispute between them arising under or in connection with the App Terms.
If any provision of the App Terms is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable or illegal, such term, condition or provision will to that extent be severed from the App Terms and the remaining terms, conditions and provisions of the App Terms shall continue to be valid and in effect.
